Terms & Conditions

1. About Us

 

YM Furniture is a furniture manufacturer and wholesale supplier based in Shunde District, Foshan City, Guangdong Province, China. We supply high-quality furniture products in bulk to factories, retailers, wholesalers, and commercial buyers worldwide through www.ymfurnitures.com.

 


2. Scope of Agreement

 

These Terms and Conditions apply to all bulk orders, wholesale purchases, and B2B transactions made through our website or agreed upon with our sales team. By submitting an order, signing a purchase agreement, or making a payment, you agree to be fully bound by these Terms.

 


3. Orders & Quotations

 

3.1 Quotations — All quotations are valid for 30 days from the date of issue. Prices are subject to change based on material costs, order volume, and market conditions.

 

3.2 Order Confirmation — An order is confirmed only upon receipt of a signed purchase order (PO) or written confirmation from both parties, along with the agreed deposit payment. We reserve the right to decline any order at our discretion.

 

3.3 Minimum Order Quantity (MOQ) — MOQs apply and will be communicated at the time of quotation. Orders below the MOQ may be subject to additional charges or may not be accepted.

 


4. Custom & Made-to-Order Products

 

4.1 Sample Approval — Before mass production begins, we will provide prototypes or samples for your approval. Production commences only after written sign-off from the Buyer. Modifications requested after approval may incur additional costs and lead-time extensions.

 

4.2 Non-Cancellable Orders — Custom and made-to-order orders are non-cancellable and non-refundable once production has commenced. Cancellations before production begins are subject to a fee covering all incurred costs (materials, tooling, labour).

 

4.3 Lead Times — Estimated lead times are provided at order confirmation and are indicative only. They may vary due to production schedules, material availability, or factors beyond our control.

 


5. Payment Terms

 

We accept the following payment methods: International Bank Transfer (T/T), Wire Transfer, and Western Union (WU).

 

5.1 Payment Schedule — Standard terms are 30% deposit upon order confirmation and 70% balance before shipment, unless otherwise agreed in writing.

 

5.2 Currency — All transactions are in USD unless otherwise agreed. The Buyer is responsible for any bank charges, conversion fees, or transfer fees on their end.

 

5.3 Late Payment — Failure to pay on schedule may result in suspended production, delayed shipment, or order cancellation. We reserve the right to charge interest on overdue amounts.

 


6. Shipping & Delivery

 

6.1 Shipping Terms & Costs — Incoterms (e.g., FOB, CIF, EXW) and shipping costs are negotiated on a per-order basis and stated in the purchase agreement or proforma invoice. Unless otherwise agreed, the Buyer is responsible for freight, insurance, customs duties, and import taxes.

 

6.2 Delivery Timelines — Estimated timelines are indicative only. We are not liable for delays caused by carriers, port congestion, customs clearance, force majeure, or other circumstances beyond our control.

 

6.3 Title & Risk — Title and risk of loss pass to the Buyer as per the agreed Incoterms. Once goods are handed to the freight carrier, YM Furniture bears no further responsibility.

 

6.4 Packaging — All goods are packed to standard export specifications. Custom packaging is available upon request and may incur additional charges.

 


7. Quality Inspection

 

7.1 Pre-Shipment Inspection — The Buyer may arrange a third-party quality inspection at our Foshan factory before shipment. This must be requested in advance and conducted at the Buyer’s expense. We will provide full cooperation and reasonable access.

 

7.2 Inspection on Arrival — Upon receipt, the Buyer must inspect goods within 7 days and report any defects, shortages, or discrepancies in writing with photographic evidence. Claims after this period may not be accepted.

 

7.3 Acceptance — Goods are deemed accepted if no written claim is received within the 7-day window. Minor variations in colour, grain, or texture due to natural material properties are not considered defects.

 

7.4 Remedies — If a valid claim is accepted, we will, at our discretion: replace defective items in the next shipment, issue a credit note or partial refund, or offer a mutually agreed repair or compensation solution.

 


8. Returns & Disputes

 

8.1 Returns — Returns are not accepted unless goods are confirmed defective, damaged in transit, or do not match agreed specifications. All returns must be authorised by YM Furnitures in writing before goods are sent back.

 

8.2 Dispute Resolution — Both parties agree to first attempt resolution through good-faith negotiation within 30 days. If unresolved, the dispute may be referred to a mutually agreed mediator or arbitration body.

 


9. Intellectual Property

 

All content on www.ymfurnitures.com — including designs, photographs, logos, and branding — is the property of YM Furnitures and may not be copied or used without prior written consent. Where the Buyer provides custom designs for production, the Buyer warrants they hold all necessary rights and indemnifies YM Furnitures against any related third-party claims.

 


10. Limitation of Liability

 

YM Furniture is not liable for any indirect, incidental, or consequential damages arising from the purchase or use of our products, including loss of profits or business interruption. Our total liability for any order shall not exceed the total invoice value of that order.

 


11. Governing Law

 

These Terms are governed by the laws of the People’s Republic of China. Disputes that cannot be resolved amicably shall be subject to the jurisdiction of the competent courts or arbitration institutions in Foshan City, Guangdong Province, China.
